Terms of Service

These Terms of Service (“Agreement”) govern your use of officloud’s online office editors for documents, Excel, spreadsheets, and PowerPoint slides (collectively referred to as “Services”). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree with any provision of this Agreement, you must not use our Services.

1. Use of Services

1.1 Account Creation: In order to access and use our Services, you do not need to create an account. We do provide a simple user id. You are responsible for maintaining the confidentiality of your userid credentials and for all activities that occur under your userid.

1.2 Permitted Use: You may use the Services for personal or commercial use, subject to the limitations and restrictions set forth in this Agreement.

1.3 Prohibited Use: You agree not to use the Services for any illegal, harmful, or unauthorized purposes, including but not limited to:

a) Uploading or distributing any content that infringes any intellectual property rights or violates any applicable laws.

b) Introducing viruses, worms, or any other malicious or harmful code.

c) Interfering with the normal operation of the Services or engaging in any activity that could disrupt, restrict, or impede other users’ access to the Services.

d) Attempting to gain unauthorized access to any portion or feature of the Services or any other systems or networks connected to the Services.

2. Intellectual Property

2.1 Ownership: You acknowledge that all intellectual property rights, including copyrights, trademarks, and patents, in the Services and any associated documentation belong to Officloud or its licensors.

2.2 License Grant: Offidocs grants you a limited, non-transferable, non-exclusive license to use the Services solely for the purpose of creating and editing documents, spreadsheets, and PowerPoint slides.

2.3 User Content: You retain all intellectual property rights in the content you upload, create, or modify using our Services. You grant Officloud a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publicly display, and distribute your content solely in connection with providing the Services.

3. Privacy and Data Security

3.1 Data Privacy: Officloud takes the privacy of your personal information seriously. Please refer to our Privacy Policy for more information on how we collect, use, and store your data.

3.2 Security: We employ industry-standard security measures to protect your data. However, you acknowledge that no method of transmission over the internet or electronic storage is entirely secure, and Officloud cannot guarantee absolute data security.

4. Termination

4.1 Termination by You: You may terminate this Agreement by discontinuing your use of the Services and closing your account.

4.2 Termination by Officloud: Officloud reserves the right to terminate this Agreement or suspend your access to the Services at any time, with or without cause, without prior notice.

4.3 Effect of Termination: Upon termination, your right to access and use the Services will cease, and you must cease all use of the Services. Sections 2 and 3 of this Agreement shall survive the termination.

5. Disclaimer of Warranties and Limitation of Liability

5.1 Warranty Disclaimer: The Services are provided “as is” and without warranties of any kind, whether express or implied. Officloud disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.2 Limitation of Liability: Officloud shall not be liable for any indirect, consequential, incidental, special, or punitive damages arising out of or relating to this Agreement, even if advised of the possibility of such damages.

6. Governing Law and Dispute Resolution

6.1 This Agreement shall be governed by and construed in accordance with the laws of the European Union. Any dispute arising out of or relating to this Agreement shall be submitted to the exclusive jurisdiction of the courts located in the European Union.

7. Miscellaneous

7.1 This Agreement constitutes the entire agreement between you and the Company regarding the Services and supersedes all prior written or oral agreements.

7.2 If any provision of this Agreement is deemed invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
